Welcome to Africanii.
These Business Listing & Claim Terms and Conditions ("Business Terms") govern the creation, display, claiming, management, and use of business listings on the Africanii platform. These Business Terms apply to both business listings created by Africanii and business listings submitted, claimed, or managed by businesses or their authorized representatives.
Please read these Business Terms carefully before claiming, managing, or submitting information to a business listing on Africanii.
By submitting a claim, creating a business account, managing a business listing, or otherwise using Africanii's business-related services, you agree to be bound by these Business Terms, as well as Africanii's general Terms of Use, Privacy Policy, and any other applicable policies.
If you may not agree to these Business Terms, you may not claim or manage a business listing.
1. ABOUT AFRICANII BUSINESS LISTINGS
Africanii is a digital platform designed to help individuals discover businesses, products, services, professionals, events, and opportunities within African communities across the United States.
Africanii may display business listings that:
- Have been submitted directly by business owners or authorized representatives;
- Have been claimed and verified by business owners or authorized representatives; or
- Have been created by Africanii using publicly available business information.
The inclusion of a business on Africanii does not necessarily mean that the business has registered with, subscribed to, paid for, partnered with, approved, endorsed, or otherwise established a relationship with Africanii.
2. PRELOADED AND UNCLAIMED BUSINESS LISTINGS
To help users discover businesses and services and to create a useful marketplace experience, Africanii may create business listings using information that is publicly available.
Such information may include, where permitted by law:
- Business names;
- Business addresses;
- Business telephone numbers;
- Business websites;
- Business categories;
- General descriptions of products or services;
- Hours of operation;
- Publicly available contact information; and
- Other publicly available business information.
An unclaimed listing may not have been created, reviewed, approved, authorized, or verified by the business owner. Africanii does not represent that an unclaimed business listing is affiliated with, sponsored by, endorsed by, approved by, or partnered with Africanii solely because the business appears on the Platform.
Africanii may identify a listing as "Unclaimed" or otherwise indicate that the business has not claimed or verified the listing. Africanii encourages business owners and authorized representatives to claim their listings and update their information.
3. ACCURACY OF PRELOADED BUSINESS INFORMATION
Africanii makes reasonable efforts to provide useful business information. Africanii may rely on third-party and publicly available sources when compiling or updating business information.
However, business information may change over time.
Africanii does not guarantee that information displayed on an unclaimed business listing is:
- Complete;
- Accurate;
- Current;
- Error-free; or
- Appropriate for every purpose.
Information displayed on the Platform may be outdated, incomplete, incorrectly associated with a business, or otherwise inaccurate. Africanii may not have an independent means of determining whether information obtained from a public source remains current or accurately identifies the business concerned.
Users may independently verify important business information directly with the business before making purchasing, financial, employment, travel, contractual, or other decisions.
4. CLAIMING A BUSINESS LISTING
If you are the owner of a business or an authorized representative of a business, you may request to claim the applicable business listing.
Claiming a listing allows an eligible business representative to request access to manage certain information associated with that business on Africanii.
Submitting a claim does not automatically grant ownership, control, or management access to a business listing. Africanii may limit the information or functions available to a claimant depending on the level of verification completed.
Africanii may review each claim and may require additional information or verification before granting access.
5. AUTHORITY TO CLAIM A BUSINESS
By submitting a claim for a business listing, you represent and warrant that:
- You are the legal owner of the business, or you have been authorized by the business owner to act on the business's behalf;
- You have the authority to submit, update, manage, and publish information relating to the business;
- You are not impersonating another individual, business, organization, employee, owner, or representative;
- You may not claim a business that you do not own or have authorization to represent;
- All information submitted to Africanii is accurate, truthful, current to the best of the claimant's knowledge, and not misleading."
- You may promptly update information that becomes materially inaccurate or outdated.
- You will not use access to a business listing for a purpose unrelated to legitimately representing or managing the business.
Only individuals with legitimate authority to represent a business may claim or manage that business's listing.
6. CLAIM VERIFICATION
Africanii may use one or more methods to verify whether a person has authority to claim a business listing.
Verification methods may include, but are not limited to:
- Email verification;
- Verification through a business-domain email address;
- Telephone verification;
- Website or domain verification;
- Business registration information;
- Proof of affiliation with the business;
- Verification through publicly available business information;
- Documentation demonstrating authorization; or
- Other reasonable verification methods determined by Africanii.
Africanii may not require to use the same verification method for every business or claimant. Africanii reserves the right to determine the appropriate verification method for each business.
Africanii may:
- Approve a claim;
- Deny a claim;
- Request additional information;
- Delay approval while conducting a review;
- Suspend access to a listing; or
- Revoke a previously approved claim.
A successful claim or verification does not transfer legal ownership of the business or business listing to the claimant. It grants limited access to manage the listing subject to these Business Terms and Africanii's policies.
7. CLAIMED, VERIFIED, AND OTHER LISTING STATUS
Africanii may display different statuses for business listings, including:
Unclaimed
An "Unclaimed" listing may have been created using publicly available information and has not been confirmed or claimed by an authorized representative.
Claimed
A "Claimed" listing indicates that an individual has been granted access to manage the business listing.
Verified
A "Verified" listing may indicate that Africanii has completed one or more verification procedures regarding the claimant's authority to represent the business.
Verification is limited to the verification process performed by Africanii.
A "Verified" status does not constitute:
- An endorsement;
- A recommendation;
- A certification;
- A guarantee;
- An approval of products or services;
- A guarantee of business quality;
- A guarantee of business legitimacy;
- A guarantee of customer satisfaction; or
- A guarantee of future performance.
Africanii may use additional status labels or badges from time to time, and the meaning of each status will be determined by Africanii and communicated through the Platform. A "Verified" status refers only to the verification performed by Africanii and does not mean that Africanii has independently verified every representation made by the business or confirmed that the business complies with all applicable laws, licensing requirements, professional requirements, or industry standards.
8. BUSINESS INFORMATION AND CONTENT
A business owner or authorized representative may be permitted to submit or manage information including:
- Business name;
- Business description;
- Business category;
- Address;
- Telephone number;
- Email address;
- Website;
- Social media information;
- Hours of operation;
- Products;
- Services;
- Images;
- Videos;
- Logos;
- Promotional materials; and
- Other business-related content.
The business owner or representative is solely responsible for the accuracy of the supplied information. Africanii may determine the technical specifications, formatting requirements, file-size limitations, categories, and other requirements applicable to submitted content.
Africanii may reject content that is technically incompatible with the Platform, even if the content otherwise complies with these Business Terms.
Africanii may organize, categorize, resize, crop, format, or otherwise technically modify submitted content for display purposes.
9. BUSINESS REPRESENTATIONS AND WARRANTIES
By submitting information or content to Africanii, you represent and warrant that:
- You own the information or content or have all necessary rights and permissions to submit it;
- The information is accurate and not misleading;
- The content does not violate the rights of another person or organization;
- The content does not infringe copyrights, trademarks, trade secrets, privacy rights, publicity rights, or other legal rights;
- The content does not contain fraudulent, deceptive, defamatory, unlawful, or harmful information;
- You have the authority to represent the business; and
- Your use of Africanii complies with all applicable laws and regulations.
- The content does not contain malware, malicious code, viruses, or other technology intended to interfere with the Platform or another person's device, account, or data.
- Your submission of the content does not violate any contractual restriction applicable to you or the business.
Africanii may remove, edit, restrict, or refuse to publish content that violates these Business Terms or applicable law.
10. LICENSE TO BUSINESS CONTENT
By submitting content to Africanii, including photographs, logos, descriptions, promotional materials, videos, or other business-related content, you grant Africanii a non-exclusive, worldwide, royalty-free, sublicensable and transferable license, to the extent necessary to operate and promote the Platform, to:
- Host;
- Store;
- Reproduce;
- Display;
- Format;
- Modify for technical or formatting purposes;
- Distribute; and
- Promote
such content in connection with the operation, improvement, marketing, and promotion of Africanii. This license applies only to content that you submit or authorize Africanii to use and does not transfer ownership of that content to Africanii.
For content independently obtained by Africanii from publicly available sources, Africanii's use of such content is governed by applicable law and any rights or licenses applicable to the source material.
You retain ownership of your original content, subject to the rights granted to Africanii under these Business Terms. You may request removal of content that you have submitted, subject to Africanii's technical, legal, operational, and record-retention requirements.
You acknowledge that Africanii may need to retain certain records or copies of submitted content after removal for legal, security, fraud-prevention, dispute-resolution, or record-keeping purposes.
11. PROHIBITED BUSINESS CLAIMS AND ACTIVITIES
You may not:
- Claim a business without authorization;
- Impersonate a business owner or representative;
- Submit false verification information;
- Provide fraudulent documentation;
- Misrepresent ownership of a business;
- Attempt to take control of another person's business listing;
- Interfere with another person's legitimate claim;
- Submit false or misleading business information;
- Manipulate business ratings, reviews, or rankings;
- Submit fake testimonials or reviews;
- Use the Platform to engage in fraud or deception;
- Upload content that violates another person's intellectual property rights; or
- Use the Platform in violation of applicable laws.
- Attempt to circumvent Africanii's verification, security, access-control, or account-management procedures.
- Use automated means to create, manipulate, scrape, or interfere with business listings except as expressly authorized by Africanii.
Africanii reserves the right to investigate suspected violations.
12. FRAUDULENT OR UNAUTHORIZED CLAIMS
If Africanii reasonably believes that a business claim is unauthorized, fraudulent, misleading, or otherwise improper, Africanii may, without prior notice where appropriate:
- Reject the claim;
- Suspend the claimant's account;
- Revoke access to the listing;
- Transfer management access to another verified representative;
- Remove or correct submitted information;
- Restrict future access to Africanii; or
- Take other actions reasonably necessary to protect the Platform, users, businesses, or the public.
Africanii may preserve information and cooperate with lawful government, regulatory, or legal requests where required or appropriate.
13. BUSINESS OWNERSHIP DISPUTES
Africanii does not determine legal ownership of businesses.
If multiple individuals, organizations, partners, shareholders, employees, agencies, franchise operators, or other parties claim authority over a business listing, Africanii may request additional information.
During a dispute, Africanii may:
- Temporarily suspend access;
- Restrict changes to the listing;
- Remove one or more claimants;
- Request additional verification;
- Require the parties to resolve the dispute independently; or
- Take another reasonable action based on the information available.
- decline to determine competing claims where the available information is inconclusive.
- maintain a listing in a restricted or unclaimed status while a dispute remains unresolved.
- rely on court orders, governmental records, corporate records, contractual documentation, or other credible evidence when evaluating a disputed claim.
Africanii's decision regarding access to a business listing does not constitute a legal determination of:
- Business ownership;
- Trademark ownership;
- Partnership rights;
- Employment authority;
- Franchise rights;
- Agency authority; or
- Any other legal right between disputing parties.
Parties involved in a legal ownership dispute may be required to resolve the dispute through appropriate legal or administrative processes.
14. CORRECTION OF BUSINESS INFORMATION
If a business owner or authorized representative believes that information on a listing is inaccurate, incomplete, outdated, misleading, or incorrectly associated with a business, they may submit a request for correction.
Correction requests should identify the information alleged to be inaccurate and, where reasonably available, provide supporting information or documentation.
Africanii may prioritize corrections involving materially inaccurate contact information, business identity, ownership, location, safety-related information, or other information that could reasonably affect consumer decisions.
Africanii is not required to make a requested change where the requested information cannot reasonably be verified or where the requested change would violate applicable law or another person's rights.
Africanii may request reasonable information to verify the requested correction.
Africanii reserves the right to:
- Approve a correction and deny a correction;
- Request additional information;
- Temporarily remove information while reviewing a request; or
- Make reasonable modifications to maintain the accuracy and integrity of the Platform.
15. BUSINESS LISTING REMOVAL REQUESTS
A business owner or authorized representative may request review of a business listing or request the removal of certain information. A request to remove a listing does not automatically require Africanii to remove the listing where the listing contains lawful, publicly available business information or where Africanii has a legitimate operational, legal, security, fraud-prevention, or informational reason to maintain it.
Africanii may review removal requests in accordance with:
- Applicable law;
- Platform policies;
- The nature and accuracy of the information;
- The rights of the requesting party; and
- Other relevant circumstances.
Africanii may retain, modify, remove, or continue displaying information where permitted by law.
However, nothing in this Section limits any rights a person may have under applicable privacy, intellectual property, consumer-protection, or other laws.
16. NO ENDORSEMENT OF BUSINESSES
The appearance of a business on Africanii does not constitute an endorsement, recommendation, certification, guarantee, or approval by Africanii.
A business's inclusion in search results, categories, rankings, recommendations, featured areas, or other Platform displays does not necessarily indicate that Africanii has independently evaluated or endorsed the business
Africanii does not guarantee:
- The quality of products or services;
- The safety of products or services;
- The legality of a business's activities;
- The accuracy of business representations;
- The availability of products or services;
- Pricing;
- Delivery;
- Customer service;
- Financial stability; or
- Customer satisfaction.
Users are responsible for conducting their own research and exercising their own judgment before engaging with a business.
17. ADVERTISING, PROMOTED LISTINGS, AND PAID FEATURES
Africanii may offer businesses opportunities to purchase advertising, promotional services, enhanced listings, featured placement, sponsored content, or other paid features.
If Africanii displays paid or sponsored content, Africanii may identify such content as:
- Sponsored;
- Promoted;
- Featured;
- Advertisement; or
- Other similar designations.
Payment for advertising or promotional placement does not necessarily constitute an endorsement or recommendation by Africanii.
Paid placement may affect the position, visibility, appearance, or prominence of a listing, subject to the applicable advertising product or agreement.
Africanii may use reasonable disclosures to identify paid or sponsored content where disclosure is required by applicable law or Platform policy.
Businesses purchasing advertising or promotional services remain responsible for ensuring that their advertising claims are truthful, substantiated where required, and not misleading.
Federal Trade Commission guidance emphasizes that advertising claims must be truthful and non-deceptive, and material connections behind endorsements should be clearly disclosed when relevant.
18. REVIEWS, RATINGS, AND TESTIMONIALS
If Africanii permits users to submit reviews, ratings, testimonials, or other feedback, users must submit honest feedback based on genuine experiences.
Businesses and users may not:
- Submit fake reviews;
- Purchase fake reviews;
- Submit reviews for experiences they did not have;
- Offer compensation in exchange for a particular positive or negative review where prohibited;
- Manipulate ratings or review systems; or
- Misrepresent the source or independence of reviews.
Businesses, users, advertisers, and other persons must not engage in conduct prohibited by applicable federal or state laws governing consumer reviews, testimonials, endorsements, advertising, or deceptive trade practices.
Africanii may remove, suppress, label, or restrict reviews that it reasonably believes are fake, fraudulent, manipulated, unlawfully incentivized, submitted by persons without genuine experience, or otherwise inconsistent with applicable law or Platform policy.
Africanii may use automated systems, human review, user reports, business reports, or other reasonable methods to identify potentially fraudulent or manipulated reviews.
Africanii does not guarantee that every review is authentic, accurate, unbiased, or representative of all customer experiences.
Africanii may investigate, remove, restrict, or refuse to publish reviews that violate its policies or applicable law.
The FTC has specific rules and guidance addressing fake reviews, deceptive testimonials, and misrepresentations concerning independent opinions. Africanii may maintain separate Review and Content Moderation Policies governing the submission, moderation, display, removal, and appeal of reviews.
19. THIRD-PARTY TRANSACTIONS
Unless Africanii expressly states otherwise, Africanii is not a party to transactions between users and independently operated businesses.
Transactions, communications, agreements, purchases, deliveries, services, and other interactions between a user and a business are generally between those parties.
Africanii is not responsible for disputes arising between users and businesses, except where Africanii expressly assumes responsibility under a separate agreement or service.
20. INTELLECTUAL PROPERTY COMPLAINTS
Africanii respects intellectual property rights.
If you believe that content displayed on Africanii infringes your copyright, trademark, or other intellectual property rights, you may submit a complaint through Africanii's designated intellectual property reporting process.
Africanii may request documentation or information supporting the complaint.
Africanii may remove, restrict, or review allegedly infringing material as appropriate.
If Africanii intends to rely on the DMCA safe harbor, it should have a designated agent and appropriate notice-and-takedown procedure. The Copyright Office explains that qualifying service providers must designate an agent, publish the agent's information, and follow the statutory notice-and-takedown requirements. 21. AFRICANII'S RIGHT TO MODIFY OR REMOVE LISTINGS
Africanii reserves the right to modify, correct, restrict, suspend, or remove business listings or content when reasonably necessary to:
- Correct inaccurate information;
- Address a legal complaint;
- Respond to a claim of unauthorized access;
- Investigate suspected fraud;
- Enforce these Business Terms;
- Protect users or businesses;
- Comply with applicable law; or
- Maintain the quality and integrity of the Platform.
Africanii is not obligated to maintain every business listing indefinitely.
22. TERMINATION OR REVOCATION OF ACCESS
Africanii may suspend or terminate access to a business account or claimed listing if:
- A claimant violates these Business Terms;
- The claim is found to be unauthorized;
- Fraud or deception is suspected;
- Verification information is materially false;
- A legal or ownership dispute arises;
- The business or user engages in prohibited activity; or
- Africanii reasonably determines that continued access presents a risk to the Platform, users, or other businesses.
Where appropriate, Africanii may notify the affected user of the reason for suspension or termination and may provide an opportunity to submit information for review.
Termination of a business account does not necessarily terminate Africanii's right to maintain publicly available business information that was independently obtained or lawfully displayed.
23. NO GUARANTEE OF RESULTS
Africanii does not guarantee that a business listing will result in:
- Sales;
- Customers;
- Leads;
- Revenue;
- Business growth;
- Increased visibility;
- Investment opportunities; or
- Any particular business outcome.
The performance of a listing may depend on numerous factors outside Africanii's control.
24. DISCLAIMER OF WARRANTIES
To the fullest extent permitted by applicable law, Africanii provides the Platform and business listing services on an "AS IS" and "AS AVAILABLE" basis.
Africanii does not make warranties, whether express or implied, regarding:
- The accuracy of listings;
- The availability of the Platform;
- The accuracy of business information;
- The quality of third-party businesses;
- The results obtained through use of the Platform; or
- The uninterrupted or error-free operation of the Platform.
Africanii disclaims implied warranties to the extent permitted by applicable law, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
25. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Africanii and its owners, officers, employees, contractors, affiliates, and representatives shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to:
- Use of the Platform;
- Inability to use the Platform;
- Business listings;
- Inaccurate or outdated information;
- Business claims;
- Unauthorized claims;
- Transactions between users and businesses;
- Third-party content; or
- Actions or omissions of independent businesses or users.
The limitations in this Section apply regardless of the theory of liability, including contract, tort, negligence, strict liability, statute, or otherwise, to the fullest extent permitted by law.
Nothing in these Business Terms is intended to limit liability where such limitation is prohibited by applicable law.
26. INDEMNIFICATION
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Africanii and its owners, officers, employees, contractors, affiliates, and representatives from claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from or related to:
- Your unauthorized claim of a business;
- Your breach of these Business Terms;
- Information or content submitted by you;
- Your violation of another person's rights;
- Your violation of applicable law; or
- Your misuse of the Platform.
27. CHANGES TO THESE BUSINESS TERMS
Africanii may update these Business Terms from time to time.
When changes are made, Africanii may update the "Last Updated" date and may provide additional notice where required by applicable law.
Your continued use of the Platform after updated Business Terms become effective constitutes acceptance of the updated terms, to the extent permitted by applicable law.
28. GOVERNING LAW AND DISPUTES
These Business Terms shall be governed by applicable United States law and the laws of the state in which Africanii is legally organized (State of Texas) without regard to conflict-of-law principles, except where otherwise required by applicable law.
Any dispute resolution provisions, arbitration provisions, jurisdiction requirements, or venue provisions contained in Africanii's general Terms of Use may also apply to disputes arising under these Business Terms.
29. SEVERABILITY
If any provision of these Business Terms is found to be unlawful, invalid, or unenforceable, the remaining provisions shall fully remain in effect permitted by applicable law.
If a provision may be modified to make it enforceable rather than invalidated entirely, the provision shall be interpreted or modified to the minimum extent necessary to make it enforceable, to the extent permitted by law.

31. ACKNOWLEDGMENT
By claiming or managing a business listing on Africanii, you acknowledge and agree that:
- You have read and understood these Business Terms;
- You are authorized to represent the business;
- The information you submit is accurate to the best of your knowledge;
- Africanii may require verification;
- Africanii may deny or revoke an unauthorized claim;
- A claimed or verified status is not an endorsement by Africanii;
- Africanii does not guarantee business outcomes or customer activity; and
- Your use of the Platform is subject to these Business Terms and Africanii's other applicable policies. ,
